Trimble of Sunnyvale, California, has entered into a definitive agreement to acquire publicly held @Road, Inc. of Fremont, California, and has purchased privately held Spacient Technologies, Inc. of Long Beach, California.
Trimble of Sunnyvale, California, has entered into a definitive agreement to acquire publicly held @Road, Inc. of Fremont, California, and has purchased privately held Spacient Technologies, Inc. of Long Beach, California.
Under the terms of the @Road transaction, Trimble will acquire all of the outstanding shares of the company, a provider of mobile resource management (MRM) solutions, for $7.50 per share, bringing the total transaction to approximately $496 million. MRM combines Internet services with on-demand applications that leverage such technologies as GPS, dispatch software, wireless communications, fleet management tools, and transaction processes to help companies more effectively manage mobile workforces.
The acquisition of Spacient Technologies, a provider of enterprise field service management and mobile mapping solutions for municipalities and utilities, will additionally impact Trimble’s MRM growth strategy.
Spacient developed Fieldport, a GIS-centric, Internet-based, wireless enterprise software suite designed for field service management. Fieldport delivers a device- and platform-independent (Windows Mobile, Palm, and PocketPC) service that integrates GIS mapping and GPS location with customer and asset information.
Trimble will incorporate Spacient’s technology and expertise into its GIS and mapping business. The financial terms of the transaction were not disclosed.
